Kai Companion — End User License Agreement (EULA)

Company: Ka.I Health GmbH ("Ka.I Health", "we", "us", "our")
App: Kai Companion (the "App")

1) Acceptance of this Agreement

By downloading, installing, accessing, or using the App, you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree, do not install or use the App.

2) License Grant

Subject to your continuous compliance with this Agreement, Ka.I Health grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use one copy of the App solely on devices you own or control, for your personal, non-commercial use.

3) Restrictions (No Modifications, No Redistribution, No Reverse Engineering)

You shall not, and shall not permit any third party to (except where expressly permitted by applicable law):

  • Modify, adapt, translate, create derivative works of, or otherwise alter the App or any portion of it.
  • Copy, reproduce, publicly display, or distribute the App except for one necessary device backup copy.
  • Sell, resell, rent, lease, lend, sublicense, assign, transfer, or otherwise provide the App (or any license rights) to any third party.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or file formats of the App.
  • Bypass, disable, or interfere with security- or usage-control features.
  • Use the App for unlawful, harmful, or high-risk purposes, including harassment, surveillance without consent, or any activity violating applicable law.

4) Ownership

The App is licensed, not sold. Ka.I Health and its licensors own all rights, title, and interest in and to the App, including all intellectual property rights. No rights are granted to you other than those expressly set forth herein.

5) Data, Privacy & Permissions

The App may request optional device permissions (for example, contacts and location) to help you select emergency contacts and attach your current location to emergency messages shared via Siri Shortcuts. The App remains usable if you decline these permissions, and you can enable access later in Settings. Your use of the App is also governed by our Privacy Policy, available at: https://www.kai-health.net/datenschutz-kai-companion-ios. By using the App, you acknowledge that you have read the Privacy Policy and consent to the processing of personal data as described therein.

6) Third-Party Components

The App may include or interact with third-party software, open-source components, or services subject to their own terms. Where required, notices and licenses are provided within the App or on our website. In case of conflict, such third-party terms govern their respective components.

7) Updates & Changes

We may provide automatic or manual updates, patches, or new versions. The App may update automatically. Continued use of the App after an update constitutes acceptance of the updated App and, where applicable, updated terms.

8) Subscriptions & In-App Purchases

The App offers optional auto-renewable subscriptions ("Kai Plus"). Key terms:

  • Payment is charged to your Apple ID account at confirmation of purchase.
  • Subscriptions automatically renew for the same duration and price unless you cancel at least 24 hours before the end of the current period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period.
  • You can manage and cancel your subscriptions in your Apple ID account settings in the App Store.
  • Any unused portion of a free trial period (if offered) will be forfeited when you purchase a subscription.
  • Prices are in the currency of your App Store storefront and may vary by region. Prices may change; any change takes effect at the next renewal.

All purchases are processed by Apple and subject to Apple's terms and conditions. We do not have access to your payment information.

9) Safety, Availability & No Emergency Service Guarantee

The App is designed as a consumer aid and does not replace emergency services or professional medical systems. Delivery of notifications or messages (including SMS) may be delayed, fail, or be inaccurate due to device limitations, connectivity, carrier issues, or third-party services. You are responsible for maintaining a functional device and connectivity, and enabling optional permissions if you want the related features.

10) Disclaimer of Warranties

To the maximum extent permitted by law, the App is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or compatible with all devices or OS versions.

11) Limitation of Liability

To the maximum extent permitted by law, Ka.I Health will not be liable for any indirect, incidental, special, consequential, or exemplary damages (including loss of data, revenue, profits, or business), or for any damages resulting from your use of or inability to use the App, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to the App or this Agreement shall not exceed the amount you paid (if any) for the App in the twelve (12) months preceding the claim.

12) Indemnification

You agree to indemnify and hold harmless Ka.I Health and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your misuse of the App, violation of this Agreement, or violation of any law or third-party right.

13) Term & Termination

This Agreement remains in effect until terminated. We may suspend or terminate your license (and/or disable the App) immediately if you breach this Agreement or if we are required to do so by law. Upon termination, you must cease use of the App and delete all copies. Sections that by their nature should survive (for example, 3, 4, 9-14) shall survive termination.

14) Export & Sanctions

You must comply with all applicable export control and sanctions laws and regulations. You represent that you are not located in, or a resident of, any jurisdiction where use of the App is prohibited by applicable law.

15) Governing Law & Venue

This Agreement is governed by the laws of Germany, without regard to conflict-of-law principles. Exclusive venue for disputes shall be the competent courts of Limburg an der Lahn, Germany.

16) Changes to this Agreement

We may modify this Agreement from time to time. If we make material changes, we will provide notice within the App or by other reasonable means. Where required, we will request your renewed acceptance before continuing use.

17) Severability; Entire Agreement; No Waiver

If any provision is found unenforceable, the remaining provisions will remain in full force and effect. This Agreement constitutes the entire agreement between you and Ka.I Health regarding the App and supersedes all prior or contemporaneous understandings. Our failure to enforce any provision is not a waiver of our rights.
